These Terms and Conditions are provided for informational purposes and, unless expressly agreed to in writing, do not create any legally binding obligations on the part of Shroomsters. By purchasing, holding, or interacting with Shroomsters NFTs, you acknowledge and agree to the terms set forth below. If you do not agree with any portion of these Terms, you are advised not to participate in the project.
0. Definitions
For the purposes of these Terms and Conditions, the following terms shall have the meanings indicated below:
NFT: A non-fungible token that represents a unique digital asset recorded on the blockchain.
Utility Tokens: Digital tokens issued by Shroomsters that provide access to certain functions or benefits within the ecosystem.
In-Game Points: Points earned through participation in the Telegram mini-app game, which may be converted into utility tokens.
Telegram Mini-App: The game application hosted on Telegram through which users participate in gameplay.
Wallet: A compatible cryptocurrency wallet required for the purchase, storage, and transfer of Shroomsters NFTs and tokens.
Sales Round: A designated period during which Shroomsters NFTs are offered for purchase under specified conditions.
Smart Contract: Self-executing code on the blockchain that governs the issuance, transfer, or conversion of tokens.
Personal Data: Any information relating to an identified or identifiable individual, as defined by applicable data protection laws.
1. Acceptance of Terms
By accessing and using Shroomsters’ services, purchasing NFTs, or engaging with the Telegram mini-app, you expressly agree to be bound by these Terms and Conditions to the extent that such obligations are expressly stated herein. Should you disagree with any part of these Terms, please refrain from participating in the project.
2. Eligibility and ComplianceAge Requirement: You must be at least 18 years old or have reached the legal age of majority in your jurisdiction.
Wallet Requirement: You must possess a compatible cryptocurrency wallet to purchase, store, and transfer Shroomsters NFTs and tokens.
Regulatory Compliance: You are responsible for complying with all applicable laws and regulations, including cryptocurrency regulations, Anti-Money Laundering (AML), and Know Your Customer (KYC) requirements as mandated by your jurisdiction.
No Implied Obligations: Except as expressly provided, Shroomsters shall not be legally bound to any user obligations beyond those explicitly set forth in these Terms.
3. NFTs, Ownership, and Intellectual Property
3.1 Purchasing Shroomsters NFTs
Shroomsters NFTs are made available in multiple sales rounds, with pricing subject to periodic adjustments.All purchases are final and non-refundable. NFT prices are denominated in TON (The Open Network cryptocurrency) and are subject to market fluctuations.
3.2 Ownership and LicenseLimited License: Ownership of a Shroomsters NFT grants you a limited, non-exclusive, non-transferable license to display and use the digital asset solely for personal, non-commercial purposes. This license does not confer any rights to the Shroomsters brand, intellectual property, or involvement in company decision-making.
No Derivative Rights: Except as expressly permitted, you shall not modify, reproduce, distribute, or otherwise exploit the NFT beyond the scope of the limited license provided herein.
3.3 NFT Attributes and Gameplay: Each NFT is associated with specific attributes (e.g., Energy, Speed, Focus) that influence in-game earnings. NFT attributes are fixed upon purchase and cannot be modified. Ownership of multiple NFTs may enhance the rate at which in-game points are generated.
3.4 Selling and Transferring NFTs: You may sell or transfer your NFT on any supported third-party marketplace at your sole risk. Shroomsters disclaims any liability for losses, scams, or unauthorized transactions that occur on third-party platforms.
4. In-Game Points and Utility Tokens
4.1 Earning In-Game Points: In-game points may be earned by: Participating in the Telegram mini-app game. Holding multiple Shroomsters NFTs to augment rewards.Inviting friends who purchase NFTs and actively participate.Completing designated tasks (e.g., watching videos, reading articles).
4.2 Token Conversion Process: In-game points will be converted into utility tokens according to a predetermined conversion rate. Details regarding the conversion mechanism, timeline for claiming tokens, and any related conditions will be communicated via official channels. Tokens will be transferred to your designated wallet upon initiation of the claiming process.
4.3 Token Listing and Trading: Utility tokens issued by Shroomsters may be listed on external cryptocurrency exchanges following the distribution phase. Shroomsters do not guarantee any specific market value or token price.Investment decisions and the associated trading risks remain solely the responsibility of the user.
5. Referral Program: Users may participate in the referral program to earn additional in-game points by inviting others to join the project. Referral rewards are granted only when the invited individual successfully purchases an NFT and participates in the game.Any instances of multiple accounts, fraudulent referrals, or abuse of the referral system will result in disqualification from the program.Further details, including definitions of “fraudulent referrals”.
6. Risks, Disclaimers, and Force Majeure6.1
6.1 Cryptocurrency, NFT, and Blockchain Risks: The value of NFTs and tokens is highly volatile and subject to unpredictable market conditions.Risks inherent to blockchain technology, such as smart contract vulnerabilities, network congestion, and potential regulatory changes, are acknowledged. Shroomsters do not guarantee profits, returns, or stable market values.
6.2 No Financial or Investment Advice: Shroomsters is not a financial institution and does not offer financial, investment, or legal advice.You are advised to seek independent professional counsel before making any investment decisions related to NFTs or tokens.
6.3 Force Majeure: Neither party shall be held liable for any delays or failures in performance due to events beyond reasonable control, including but not limited to natural disasters, cyberattacks, network failures, or governmental actions.
6.4 Security and Fraud Prevention: Users are solely responsible for maintaining the security of their wallets and private keys. Shroomsters will never request your private keys or wallet access. Any suspected scams, phishing attempts, or fraudulent activities should be promptly reported to the official Shroomsters team via Telegram Channel.
7. User Conduct and Restrictions: Users agree to adhere to the following conduct standards: Refrain from engaging in any fraudulent, illegal, or manipulative activities.Avoid attempting to hack, exploit, or interfere with the game, token distribution, or related systems. Abstain from using bots or automated systems to accrue in-game points. Refrain from impersonating Shroomsters team members or misleading other users.Understand that violations of these conduct standards may result in account suspension and forfeiture of accrued rewards.
.8. Intellectual Property and Privacy
8.1 Intellectual Property Rights: The Shroomsters brand, logo, website, game elements, and all associated intellectual property are owned exclusively by Shroomsters. Except as expressly provided, users are prohibited from using, modifying, or distributing any Shroomsters assets for commercial purposes without prior written consent.
8.2 Privacy and Data Protection: The collection, storage, and use of your personal data are governed by our Privacy Policy, which is compliant with applicable data protection laws (e.g., GDPR). Please review our Privacy Policy.
9. Project Development, Future Plans, and Modifications: Shroomsters is committed to the ongoing development and enhancement of its features, including the introduction of platforms such as the Collective Intelligence platform. Any future updates that materially affect game mechanics, tokenomics, or NFT utilities will be communicated to users in advance. Users may have opportunities to provide feedback on proposed changes through the Telegram channel. Notwithstanding the foregoing, Shroomsters shall not be legally bound by any modifications unless expressly agreed upon.
10. Termination, Modifications, and Notification ProceduresRight to Modify: Shroomsters reserves the right to modify or discontinue any part of the project and update these Terms and Conditions at its sole discretion.
Notification: Changes to these Terms will be communicated via Telegram channel. It is the user’s responsibility to review the updated Terms periodically.
Termination: Shroomsters may suspend or terminate user accounts for breaches of these Terms. Obligations incurred prior to termination shall survive.
Severability: Should any provision of these Terms be deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Implied Obligations: Except for obligations expressly stated herein, no other obligations shall be deemed to exist between the parties.
11. Limitation of Liability: Shroomsters shall not be liable for any losses incurred as a result of user error, hacking, technical failures, or other unforeseen events related to NFTs or tokens. Shroomsters disclaims any liability for market losses arising from price fluctuations.Liability for any third-party services, including wallet providers and exchanges, is expressly disclaimed.Users assume all risks associated with participation in the project.
12. Governing Law and Dispute ResolutionGoverning Law: These Terms and Conditions shall be governed by and construed in accordance with the laws, without regard to conflict of law principles.
No Implied Liability: Except as expressly stated, Shroomsters shall not be held legally liable for any obligations not explicitly included in these Terms.
